The rules of the game
Terms of Service
These Terms of Service ("Terms") form a binding agreement between you and the operator of CarnivalOS ("CarnivalOS", "we", "us" or "our") and govern your access to and use of the CarnivalOS software platform, the website, the mobile experiences and the related services (together, the "Service"). By creating an account, subscribing to any module or otherwise using the Service, you accept these Terms. If you do not agree, do not use the Service.
1. Who this Service is for
CarnivalOS is a business software tool for event organizers, promoters and their authorized staff. You must be at least 18 years old and legally capable of entering into contracts to use the Service. Accounts are provided to you as the subscriber; you are responsible for every person you invite into your workspace, including team coordinators, gate staff and administrators.
The Service is supplied for business use. The protections that apply to consumer purchases do not cover your subscription, and nothing in these Terms should be read as if it did.
2. What CarnivalOS is — and what it is not
CarnivalOS is a tool you use to run your own business: sell your tickets, control your mas crew payments, book your transport, manage your vendors and coordinate your visitors' packages. We supply the software; you run the show.
We are not a party to any transaction between you and your customers, attendees, mas crew members, drivers or vendors. We do not sell tickets on your behalf, we do not hire your people, we do not operate your buses, we do not vet your vendors and we do not guarantee that any attendee, driver or vendor will perform. Any dispute with a customer, attendee, member, driver or vendor is solely between you and that person.
You are solely responsible for the legality of your events, your ticket sale conditions, your refund policy toward your customers, your employment and contracting relationships, and the permits, licenses and insurance your events require.
3. Subscriptions, fees and billing
Modules are licensed by subscription, billed monthly or annually as shown at the moment of payment. Features available during a free or trial period may be limited, and we may end or modify trials at any time. Subscription fees are paid in advance through one of the published channels: card payment via WiPay, USDT (Binance), Mobile Payment or bank transfer.
Subscriptions are prepaid periods, not recurring card charges: each payment buys one (1) or twelve (12) months of access counted from the moment of confirmation, and we do not store your card or charge you automatically. When a period ends you can renew from the Billing screen — we may send you a courtesy reminder before it does. If you do not renew, access simply pauses at the end of the paid period; nothing is charged and your data is kept in accordance with the cancellation sections of these Terms.
Card payments are processed by WiPay, a Caribbean payment processor, inside WiPay's own secure payment window. We never receive, see or store your full card number or card credentials — only a masked confirmation of the result (for example the last digits of the card and the transaction reference). Depending on the fee option applied, WiPay may add its processing fee on top of the plan price; the exact total is always shown to you inside the WiPay window before you confirm. A payment is only considered made when WiPay's signed confirmation is verified by the Service; if you believe you were charged without your subscription activating, contact us through the support channel and we will reconcile it against WiPay's records.
Fees are non-refundable, including partial billing periods, unused modules, events that do not go ahead, weather or any dissatisfaction with the results obtained using the Service, except where a refund is required by applicable law or where a duplicated or erroneous charge is proven against our records. If we ever grant a refund or credit, it is a one-time courtesy and does not obligate us to repeat it. Refunds of card payments, when applicable, are processed through WiPay back to the original card.
We may change prices or introduce new charges with at least 30 days' notice through the Service or by email. Continuing to use the Service after a change takes effect means you accept the new prices. Overdue amounts may lead to suspension of the Service until they are paid, and we may recover the reasonable costs of collecting overdue amounts.
4. Acceptable use
You agree not to: (a) use the Service for unlawful purposes, including unauthorized ticket resale, fraud or money laundering; (b) probe, scan, stress-test, reverse engineer, decompile or attempt to extract our source code, models, schemas or infrastructure; (c) bypass usage limits, rate limits or security controls, or access data that does not belong to you; (d) resell, sublicense, rebrand or lend the Service to third parties as a service without our written agreement; (e) upload malicious code, extract data at scale or interfere with other customers' use; or (f) misrepresent your identity or affiliation.
We may set and enforce reasonable usage limits, and suspend or restrict accounts that put the stability, security or integrity of the Service for others at risk.
5. Your data and your customers
You retain ownership of the data you and your staff enter into the Service — your events, orders, mas crews, vendors, bookings and customer records ("Your Data"). You grant us a limited, worldwide license to host, process, transmit, back up and display Your Data solely to operate, protect, support and improve the Service for your benefit. We do not sell Your Data.
You are the controller of the personal data of your customers, attendees, mas crew members and drivers. You are responsible for collecting that data lawfully, for having a legal basis and any required consents (including location tracking of transport bookings) and for respecting their rights where applicable — depending on your territory you may have obligations under the Data Protection Act 2011 of Trinidad and Tobago, the Jamaica Data Protection Act 2020, the GDPR / UK GDPR or other applicable law. We act only as a processor that executes your instructions through the Service. See our Privacy Policy and our "Data — Drivers, Mas Crews & Customers" notice for the details.
You are responsible for configuring and using the Service correctly — including verifying gate lists, QR codes and payment figures before relying on them at the gate or at the bank.
6. Our intellectual property
The Service — including all programs, code, design, interfaces, trademarks, trade names, graphics, documentation and the CarnivalOS name — is and will remain our exclusive property and that of our licensors. Nothing in these Terms transfers any ownership to you.
We grant you a non-exclusive, non-transferable and revocable license to use the Service for your own internal business purposes, for as long as your subscription lasts and in accordance with these Terms. You may not copy, modify, distribute, sell, rent, create derivative works from or remove notices from any part of the Service.
We may use the feedback and suggestions you give us without restriction or payment, and add anonymized usage data to operate and improve the Service.
7. Third-party services
The Service runs on, connects to or depends on external providers such as cloud hosting, managed databases, payment processing, communications and analytics. Those providers operate under their own terms and privacy policies, and we do not control them.
To the maximum extent permitted by law, we are not liable for the acts, omissions, outages, data loss or security incidents of external providers, except where such liability cannot be excluded by law.
8. Availability, changes and support
We aim to keep the Service available at all times, including offline mode on your devices through local caching and queued synchronization — but offline functionality depends on your device, browser and storage, and synchronization requires a connection at some point. The Service is offered "as available": we do not guarantee uninterrupted, timely, secure or error-free operation.
We may add, change, suspend or retire features, modules or parts of the Service at any time. When a change substantially reduces a paid module, we will give reasonable notice through the Service. Maintenance windows, capacity limits and feature changes do not constitute a breach of these Terms.
9. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, QUIET ENJOYMENT OR COMMERCIAL USE.
We do not guarantee that the Service will meet your requirements, produce any particular commercial result, prevent losses at the gate, eliminate disputes with mas crews or vendors, or work with every device or network. Operational outputs (reconciliation figures, accounts, QR codes, lists, GPS positions) are aids to your judgment, not guarantees.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, NOR FOR LOST PROFITS, LOST REVENUE, UNSOLD TICKET SALES, LOSS OF REPUTATION, LOSS OF DATA (WHEN CAUSED BY YOUR MISCONFIGURATION OR BY THIRD PARTIES), BUSINESS INTERRUPTION, EVENT CANCELLATIONS, WEATHER OR THE COST OF SUBSTITUTE SERVICES — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU HAVE PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE FIRST EVENT GIVING RISE TO LIABILITY — OR, IF YOU HAVE PAID NOTHING OR ONLY USED FREE OR TRIAL ACCESS, FIFTY UNITED STATES DOLLARS (US$ 50).
These limits apply no matter how the claim arises (contract, tort, statute, negligence or otherwise) and even if a remedy fails of its essential purpose. Nothing in these Terms excludes liability that cannot be excluded by law.
11. Indemnification
You will defend, indemnify and hold harmless the operator of CarnivalOS and its owners, directors and staff against all claims, demands, investigations, fines, losses, damages, costs and reasonable legal fees arising from or relating to: (a) your events and how you run them; (b) Your Data, including the personal data of your customers, attendees, mas crew members and drivers; (c) your breach of these Terms or of applicable law; (d) disputes with your customers, attendees, mas crews, drivers or vendors; or (e) your use of the Service in combination with something we do not provide.
We may control the defense of any matter for which we are indemnified with counsel of our choice, at your cost, and you will not settle it without our consent.
12. Suspension and termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access immediately, with notice where possible, if: fees are overdue; you breach these Terms and do not cure the breach within 7 days where it is curable; we have reasonable grounds to believe your use presents a security, legal or fraud risk; or the law or a competent authority requires it.
On termination, your right to use the Service ends immediately. For thirty (30) days we will make reasonable efforts to let you export Your Data in standard formats; after that window, we may delete Your Data permanently, except data we must retain for legal, accounting or security reasons. We are not responsible for the loss of Your Data after that window, and we recommend exporting regularly — the Service includes one-click CSV exports for that purpose.
13. Changes to the Service and to these Terms
We may update these Terms from time to time. Material changes will be announced through the Service or by email at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms; if you do not agree, cancel before that date.
No statement, representation or promise by any person (including our staff or agents) outside these Terms binds us. These Terms, together with the Privacy Policy and any purchase flow presented at checkout, form the entire agreement between you and us regarding the Service.
14. Disputes; governing law
These Terms and any dispute arising out of them are governed by the laws of the Republic of Trinidad and Tobago, without regard to their conflict-of-laws rules. Before filing any claim, the parties will attempt in good faith to resolve it for thirty (30) days after written notice of the dispute.
Any claim must be brought before the competent courts of the Republic of Trinidad and Tobago or, at our election, by confidential arbitration seated in Port of Spain in accordance with the arbitration legislation of Trinidad and Tobago. YOU AND WE WAIVE PARTICIPATION IN CLASS ACTIONS OR REPRESENTATIVE PROCEEDINGS, AND CLAIMS MUST BE BROUGHT INDIVIDUALLY. Every claim must be filed within one (1) year of when it arose, or it is permanently barred.
If any provision of these Terms is found unenforceable, the rest will remain in force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, sale or reorganization.
15. Operator identity and contact
The Service is operated by Zeitgeist Business Solutions, with operational domicile in Port of Spain, Republic of Trinidad and Tobago. Questions about these Terms: legal email — to be published shortly. Notices to us must be made in writing; we may send notices to you through the Service or to the email address on your account, and they are deemed received one day after they are sent.
